Sample New Jersey Question
A broker-prepared standard contract for a two-family home is signed and delivered by both parties. On the next business day, the seller receives a higher offer from another buyer and wants to end the first contract. During attorney review, what is the BEST way for the seller to terminate the first contract?
- AWritten disapproval by the seller’s attorney
- BWritten cancellation sent by the listing agent
- CAcceptance of the other buyer’s higher offer
- DAn oral withdrawal by the seller
Show answer and explanation
The correct answer is A. A standard residential sales contract prepared by a New Jersey broker is subject to an attorney-review provision and, generally in transactions involving one- to four-family homes, does not become immediately final even after both parties sign and the contract is delivered. If either party's attorney disapproves the contract in writing within 3 business days, the contract may terminate before becoming binding. The seller cannot simply disregard the contract because the seller received a higher offer, but choice A, which provides for the seller to have an attorney deliver a lawful written disapproval during the review period, is a possible procedure. Choice B is incorrect because the listing agent cannot make a disapproval under the attorney-review provision on the seller's behalf. Choice C is incorrect because accepting a subsequent offer while disregarding the existing contract may create a risk of a contract dispute, and the oral withdrawal in choice D is incorrect because it does not satisfy the required written disapproval by an attorney.
Exam tip
For New Jersey attorney review questions, ask who ends the contract, how, and when. A party's attorney must deliver written disapproval within 3 business days, counted in business days, not calendar days. An oral withdrawal or a text from the seller or broker, or accepting another offer, does not replace a written disapproval. An offer received during attorney review is not a backup offer.
